VENDOR SPACE AGREEMENT The Market Place of Georgia | Five Diamond Botanical LLC This Vendor Space Agreement ("Agreement") is entered into between Five Diamond Botanical LLC d/b/a The Market Place of Georgia, located at 1380 Atlantic Drive NW, Suite 14125, Atlanta, GA 30363 ("The Marketplace"), and the vendor identified below ("Vendor"). RENEWAL POLICY This Agreement shall be effective for a period of one (1) month from the Start Date and shall automatically renew on a month-to-month basis unless either party provides written notice of non-renewal at least five (5) days prior to the renewal date. Continued occupancy of the vendor space constitutes acceptance of renewal under the same terms. 2. SECURITY / LIABILITY The Market Place of Georgia, operated by Five Diamond Botanical LLC ("The Marketplace"), is not responsible for theft, loss, or damage to Vendor's merchandise, fixtures, or personal property. Vendor assumes all risk of loss or damage to their goods while displayed in the Marketplace. Vendor is strongly encouraged to obtain appropriate business insurance. The Marketplace shall not be held liable for any claims arising from Vendor's products. 3. SPACE RESPONSIBILITY Vendor is responsible for keeping their assigned booth space in good order, including proper display, stocking, and organization of merchandise. Vendor agrees to maintain and present their space in a manner consistent with the overall aesthetics and standards of The Marketplace. Vendor shall promptly address any deficiencies identified by Management. 4. CLEAN & SAFE CONDITION Vendor shall maintain their assigned space in a clean, safe, and sanitary condition at all times. Vendor shall not create, allow, or leave any hazardous conditions that could endanger staff, other vendors, or customers. Any damage caused by Vendor to The Marketplace's property shall be the sole financial responsibility of the Vendor and shall be remedied promptly. 5. SIGNAGE APPROVAL All signage, banners, promotional materials, and displays used by Vendor within the Marketplace must be reviewed and approved by Management prior to display. Management reserves the right to require removal or modification of any signage that does not meet Marketplace standards, brand guidelines, or applicable law. 6. MERCHANDISE BOUNDARIES Vendor agrees to display and sell merchandise only within the boundaries of their designated booth space. Merchandise, fixtures, and promotional materials must not extend into common areas, aisles, or adjacent vendor spaces without prior written approval from Management. Unauthorized expansion of merchandise beyond assigned boundaries may result in removal of goods and/or termination. 7. RE-DESIGN ON REQUEST Management reserves the right to request that Vendor redesign, reorganize, or rearrange their booth space at any time for the overall benefit, safety, or aesthetics of The Marketplace. Vendor agrees to comply with any such request within seventy-two (72) hours of receiving written or verbal notification from Management. 8. APPROVED PRODUCTS ONLY Vendor shall sell only the products and product categories listed in the Approved Products section of this Agreement. Any material change to the product mix, addition of new categories, or introduction of products not previously reviewed must receive prior written approval from Management. Selling unapproved products may result in immediate termination. 9. POS TRANSACTIONS ONLY All sales transactions must be processed exclusively through the point-of-sale (POS) system provided or authorized by The Marketplace. Accepted methods include cash, credit/debit card, Cash App ($x060369), and Zelle ((770) 595-8086, Five Diamond Botanical). Vendor agrees not to accept or process payments through any personal or unauthorized payment system without the express written consent of Management. 10. OUTSIDE-POS = TERMINATION + 20% CHARGE Any Vendor found to be accepting payments outside the authorized POS system will be subject to immediate termination of this Agreement. In addition to termination, Vendor will be assessed a penalty fee equal to twenty percent (20%) of the estimated transaction amount(s) conducted outside the POS system, as determined by Management in its reasonable discretion. This provision survives termination. 11. MINIMUM 4 HRS/WEEK Vendor agrees to be physically present in The Marketplace for a minimum of four (4) hours per week to restock, organize, and maintain their booth space. Failure to meet this minimum presence requirement without prior notification to and written approval from Management may constitute a material breach of this Agreement and may be grounds for termination. 12. AT-WILL REVOCATION (5-DAY NOTICE) Either party may terminate this Agreement at any time by providing the other party with a minimum of five (5) calendar days' written notice. Upon termination, Vendor must remove all merchandise, fixtures, and personal property from the assigned space within the five-day notice period. Any items not removed within this period may be treated as abandoned, and The Marketplace shall have no liability for their disposition. 13. CREDIT CARD DISPUTES / CHARGEBACKS In the event of a credit card chargeback or payment dispute initiated by a customer for a transaction processed through the Marketplace POS system on behalf of Vendor, the Vendor shall be solely responsible for the disputed amount plus any associated bank, processor, or platform fees. The Marketplace reserves the right to deduct such amounts directly from Vendor's next scheduled payout or to invoice Vendor for immediate payment. 14. NO LIABILITY FOR DISPUTES The Market Place of Georgia and Five Diamond Botanical LLC shall not be liable for any disputes, claims, complaints, or legal actions arising between Vendor and any customer regarding the quality, safety, authenticity, fitness for purpose, or any other attribute of any product sold by Vendor. Vendor agrees to handle all such matters directly and hereby holds The Marketplace and its principals, employees, and agents harmless from any related claims, costs, or liabilities. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ FREE ACT AND DEED ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ By signing this Agreement, Vendor acknowledges that they have read, understand, and agree to all terms and conditions set forth herein, and that they are signing of their own free act and deed. This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter hereof.
